Emeria SASU (formerly Foncia Management SAS), a simplified joint-stock company (société par actions simplifiée unipersonnelle) organized under the laws of France (the “Company” and together with its consolidated subsidiaries, the “Group”) today announced the launch of an offering of €400.0 million in aggregate principal amount of its senior secured notes due 2028 (the “Notes”).
If completed, the Company intends to use the proceeds from the offering of the Notes to (i) repay amounts outstanding under its revolving credit facility, (ii) fund cash on balance sheet and (iii) pay fees and expenses incurred in connection with the offering of the Notes and the use of proceeds therefrom. There can be no assurance that the offering of the Notes or the other transactions described herein will be completed.
The Notes will be offered outside the United States in offshore transactions pursuant to Regulation S under the U.S. Securities Act of 1933, as amended (the “Securities Act”), and in the United States to qualified institutional buyers pursuant to Rule 144A under the Securities Act, subject to market and other conditions.
